Changes in Holdings
The Securities Markets Act Amendment (HE 3/2024 vp) came into force on 19 April 2024, which extends the reporting requirements for significant ownership and voting rights, as well as the application of provisions related to public tender offers and obligation to make a tender offer, to include multilateral trading facilities such as First North Growth Market Finland alongside regulated markets.
The reporting requirements to disclose major shareholdings and percentages of voting rights apply to listed companies’ shareholders, persons comparable to a shareholder and the listed company itself.
The obligation aims to ensure that all investors have equal access to information regarding the ownership structure, voting rights, and any changes related to a listed company. Such information can significantly impact the value of the company’s shares.
A notification is required whenever the proportion of holdings or votes reaches, exceeds, or falls below a specified disclosure threshold. These thresholds are set at 5%, 10%, 15%, 20%, 25%, 30%, 50%, 2/3, and 90% of the company’s total voting rights or shares.
Notification of major holdings must be submitted without undue delay and no later than the next trading day after the shareholder becomes aware, or should have become aware, of a transaction that causes a breach of a notification threshold.
